Og da er det svært mye som tyder på at LH vil ta over Austrian for en slikk og ingenting...dvs ca 2,5 millioner kroner, det samme som en romslig to-roms på Frogner

Såvidt jeg har sett definerer Lufthansa selve passasjerops'en som Lufthansa Passenger Airlines, mens Deutsche Lufthansa AG (DLH) er holdingselskapet. I så fall er det vel sistnevnte, DLH AG, som blir eier av AUA?

Tyske Lufthansa overtar Austrian Airlines innen årskiftet. Russiske S7 og fransk-nederlandske Air France er ikke lenger med i forhandlingene, heter det i en ærklæring fra det statlige holdingselskapet i Østerrike.

Lufthansas bestyrelse godkender køb af 100 % af Austrian Airlines. Prisen kommer op på ca. 3 milliarder kr. Lufthansa ejer i forvejen Swiss og er også ved at overtage Brussels Airlines.

Lufthansa vil i første omgang købe de 41,56 af aktierne i Austrian Airlines som den østrigske stat ejer gennem Österreichische Industrieholding AG (ÖIAG).
Herudover, oplyser Lufthansa, vil man herefter tilbyde at købe de resterende aktier i Austrian. Der er afsat 215 mio. euro til køb af disse aktier.

I morgen, fredag, har bestyrelsen i ÖIAG møde om tilbuddet fra Lufthansa. Herefter forventes de formelle papirer undertegnet.

EU skal dog godkende Lufthansas overtagelse af sin Star Alliance-partner.

Air France-KLM registered a complaint to the EU on Thursday over Austria's plans to sell its national airline to Lufthansa, saying the deal depended on unfair state aid. Air France-KLM said a decision by the Vienna govt to cancel a E500m loan to Austrian Airlines as part of the sale to Lufthansa had not been on the table when Air France-KLM was itself considering bidding for the airline. 'Air France-KLM is convinced that the sale of Austrian Airlines to Lufthansa has not been carried out in the best interests of the parties involved or at a normal market price,' Air France-KLM said. 'This sale therefore includes elements of state aid requiring detailed analysis by the European Commission.'

Lufthansa har fått klarsignal fra EU-komisjonen til å overta Austrian. Dette må være en lettelse for gjeldstyngende Austrian. Jeg mottok nettopp en mail fra Austrian som sier følgende:

As we're sure you've already heard, the EU Commission announced on Friday that it has reached agreement with Lufthansa on the preconditions for approval of Lufthansa's takeover of the Austrian Airlines Group. One of the major obstacles concerning the substance of the planned partnership deal has thus been overcome. At the same time, we have received clear signals that a positive decision is about to emerge in the stateaid proceedings. We expect the takeover deal to be formally completed in August, latest before the end of September 2009.

Lufthansagruppen er etter oppkjøpet av Austrian Airlines det største flyselskapet i Europa foran Air France-KLM.

Tyskerne eier nå 90 prosent av alle Austrians aksjer. De siste 10 prosentene vil bli kjøp senere i september.
