SAS sælger andel i Estonian Air

Sas har, iflg. www.borsen.dk nu indgået aftale med den estiske regering om salg af deres andel i Estonian Air. Aftalen betyder at den estiske regering indskyder frisk kapital, som nedbringer SAS ejerandel til 10%, med option til regeringen på køb af disse 10.

SAS signs agreement to divest in Estonian Air

Since 2003 SAS has a 49% ownership in the Estonian based Estonian Air. According to the Core SAS strategy with focus on the Nordic home market this stake has been set out for divestment.

Today the SAS Group has reached an agreement, in principle, with the Estonian Government that will result in SAS divesting its 49% stake. The Estonian Government will provide approx MSEK 205 of new capital in a new rights issue and SAS will convert approx MSEK 20 in loans into equity. After the rights issue the Estonian Government will hold 90% and SAS 10% of Estonian Air. SAS will remain lender of approx MSEK 70 in loans with a maturity in 2014.

The transaction is neutral to profit and liquidity of the SAS Group. Estonian Air has an option to buy SAS remaining stake and SAS has the option to sell its stake at Fair Market Value after 4 years.

SAS will continue its commercial cooperation with Estonian Air.

Hvor er egentlig salget her? Slik jeg tolker det så omgjøres noe gjeld til egenkapital og de sitter igjen med en salgsoppsjon på sin (sterkt utvannede) eierandel

Someone, du har sådan set helt ret, og jeg skal da være den første til at beklage formuleringen som jeg egentligt tog fra Børsen.
Det der sker er at SAS nedbringer sin ejerandel gennem divestment, som foregår ved at SAS ikke deltager i den emission som skal skyde ca. 200 mill. skr. ind i flyselskabet. Dermed nedbringes SAS ejerandel, helt i tråd med Core SAS.

Estonian Air trenger sårt både en tydelig strategi og finanser til å følge den opp. Estonian Air frakter ikke mer enn noe over 30.000 passasjerer i måneden, med ca. 10 prosent nedgang gjennom hele 2010. airBaltic, som SAS i sin tid ville fusjonere med Estonian Air, er godt i gang med ekspansjonen i Estland, med egen Tallinn-base.

De eneste rutene de flyr på daglig basis er Tallinn-Oslo, Tallinn-København, Tallinn-Vilnius-Amsterdam
